This course explores a topic that is central to all fields of private law. It first examines the contractual powers of agents, as derived from their authority, which can be either express, implied, apparent, or inherent, and the complex relationships between the principal, the agent, and the third party. The discussion then turns to questions of the fraudulent acts of agents, the undisclosed principal, the doctrine of ratification, and the termination of the agency relationship. The course also examines questions of vicarious liability in tort, including independent contractors and the joint enterprise relationship.
